This PURCHASE AND SALE AGREEMENT (the “Agreement”) is effective when signed (the “Effective Date”), by and between THE CITY OF TEMPE, an Arizona municipal corporation, ("Buyer"), and CENTRAL PLAZA, LLC, an Arizona limited liability company ("Seller"). Seller herein agrees to sell, and Buyer herein agrees to buy the Property (as defined below) on the terms, conditions and covenants set forth in this Agreement. Seller and Buyer may each be referred to as “Party” and may collectively be referred to as the “Parties.”
