THIS MEMORANDUM OF AGREEMENT (“Agreement”) is made this day of , 2015, by and between JAMES CAMPBELL COMPANY LLC, a Delaware limited liability company (“OWNER”) and HAWAII COMMUNITY DEVELOPMENT AUTHORITY, a body corporate and a public instrumentality of the State of Hawaii (“HCDA”) (the OWNER and HCDA shall sometimes be referred to herein individually as a “Party” or collectively as the “Parties”).
