THIS BILL OF SALE (this “Bill of Sale”), made effective as of January 23, 2017, is made by and among EMC Corporation, a Massachusetts corporation (“EMC”), and each of the members of the Seller Group signatory hereto (each a “Company” and together, the “Companies”) and each of the members of the Purchaser Group signatory hereto (each a “Purchaser” and together, the “Purchasers”). Capitalized terms used but not defined herein shall have the meanings ascribed to such terms in that certain Master Acquisition Agreement (the “Acquisition Agreement”), dated as of September 12, 2016, by and among EMC, EMC International Company, a company organized under the laws of Ireland, EMC (Benelux) B.V., a besloten vennootschap organized under the laws of Netherlands and Open Text Corporation, a corporation incorporated under the federal laws of Canada.
