Sanford P. Rosen (the “Assignee”), as assignee for the benefit of the creditors of Harris Publications, Inc. (“Harris”), has entered into an Asset Purchase Agreement (the “APA”), dated as of June 2, 2016, with Athlon Sports Communications, Inc. (the “Proposed Purchaser”) for the sale (the “Sale”) to the Proposed Purchaser of substantially all of Harris’s assets (the “Assets”), as set forth in the APA. Pursuant to the APA, the Proposed Purchaser has offered to purchase the Assets in consideration for the assumption of the obligations of Harris under certain of its executory contracts and assume certain indebtedness of Harris owing to such contract counter parties and others aggregating approximately $3.7 million.
