On the basis of the representations, and covenants and upon the terms and conditions contained in this Bond Purchase Agreement, URBN US Retail LLC, a Pennsylvania limited liability company (the “Purchaser”) offers to purchase from the Unified Government of Wyandotte County/Kansas City, Kansas (the “Issuer”), the above-referenced bonds on the Closing Date (hereinafter defined) in the maximum aggregate principal amount of $403,000,000 (the “Bonds”), to be issued by the Issuer, under and pursuant to Ordinance No. O-[ ]-20 passed by the governing body of the Issuer on September 17, 2020 (the “Ordinance”) and a Trust Indenture (the “Indenture”) to be entered into between the Issuer and the bond trustee named therein (the “Trustee”) in substantially the form as attached hereto as Exhibit A with such changes as may be acceptable to the parties thereto, the Company, and the Purchaser.
