This MEMORANDUM OF AGREEMENT (“MOA”) is made as of October 17, 2005 by and between the Ministry of Finance and Planning of the Republic of Cape Verde (the “Ministry”) and MCA-Cape Verde, an independent unit established under the laws of Cape Verde for the management and oversight of the Program (“MCA-Cape Verde”). All capitalized terms that are used but not defined herein shall have the meaning given such terms in the Millennium Challenge Compact by and between the United States of America, acting through Millennium Challenge Corporation, a United States Government corporation (“MCC”), and the Government signed in Praia, Cape Verde on July 4, 2005 (the “Compact”). This MOA, upon delivery to and approval by MCC, shall satisfy the requirement for a Fiscal Agent Agreement under the Compact and the Disbursement Agreement
