This Master Software Subscription Agreement (“Agreement”) is made and entered into as of July 1, 2019 (the “Effective Date”), by and between Silverback Learning Solutions, Inc. (“Silverback”), a Delaware corporation with its principal place of business at 2963 E Copper Point Dr. #150, Meridian, ID 83642, and Kimberly School District #414, a public school system, with its principal place of business at 141 Center Street West, Kimberly, ID 83341 (“Customer”).
