Certain stockholders named in Schedule II hereto (the “Selling Stockholders”) of Skyline Champion Corporation, a corporation organized under the laws of the State of Indiana (the “Company”), propose to sell, severally and not jointly, to the several underwriters named in Schedule I hereto (the “Underwriters,” which term shall also include any underwriter substituted as hereinafter provided in Section 10 hereof), for whom Credit Suisse Securities (USA) LLC, RBC Capital Markets, LLC and Jefferies LLC are acting as representatives (in such capacity, the “Representatives”), an aggregate of 9,000,000 outstanding shares of Common Stock (such 9,000,000 shares of Common Stock being hereinafter referred to as the “Firm Securities”).
