This settlement agreement (the “Settlement Agreement”) is entered into by and between Davis Neurology, P.A. (“Plaintiff” or “Class Representative”), for itself and the Settlement Class, as defined below, on the one hand, and DoctorDirectory.com, LLC (“DoctorDirectory”) and Everyday Health, Inc., (“Everyday Health”, and together with DoctorDirectory, the “Defendants”), on the other hand. Plaintiff and Defendants are collectively referred to as the “Parties.” This Settlement Agreement is intended by the Parties to fully, finally, and forever resolve, discharge, and settle this Action and the Released Claims (defined, along with other initial capitalized terms, below), upon and subject to the terms and conditions of this Settlement Agreement and final approval of the Court.
