This End User License Agreement (“EULA”) in conjunction with any Order and/or Product Specific Terms, as applicable (collectively, the "Agreement") is a binding agreement between Client and the Company with respect to the Services and is effective as of the date the Agreement is first Accepted by Client (“Effective Date”). COMPANY PROVIDES THE SERVICES SOLELY ON THE TERMS SET FORTH IN THE AGREEMENT AND ON THE CONDITION THAT CLIENT ACCEPTS AND COMPLIES WITH SUCH TERMS. BY ACCEPTING, YOU (A) ACCEPT THE AGREEMENT AND AGREE THAT CLIENT IS LEGALLY BOUND BY ITS TERMS; AND (B) REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, POWER, AND AUTHORITY TO ENTER INTO THE AGREEMENT ON BEHALF OF CLIENT AND BIND CLIENT TO ITS TERMS. IF CLIENT DOES NOT AGREE TO THE TERMS OF THE AGREEMENT, COMPANY WILL NOT AND DOES NOT LICENSE THE SERVICES TO CLIENT AND YOU MUST NOT USE, ACCESS, DOWNLOAD OR INSTALL, AS APPLICABLE, THE SERVICES.
