THIS COOPERATION AGREEMENT (“Agreement”) is made as of this ______ day of ____________, 2001 with regard to the Metcalf Energy Center (“MEC” or “Project”) by and between the CITY OF SAN JOSE, a municipal corporation of the State of California (“City”), on the one hand, and CPN DELTA, INC., a Delaware corporation affiliated with Calpine Corporation, and METCALF ENERGY CENTER, LLC, a Delaware limited liability company affiliated with Bechtel Enterprises Holdings, Inc. on the other hand CPN Delta, Inc. and Metcalf Energy Center, LLC are jointly and severally referred to herein as "Calpine/Bechtel.” Each of City and Calpine/Bechtel is referred to in this Agreement individually as a “Party,” and collectively as the “Parties.”
