AGREEMENT (this “Agreement”) of Citiva LLC (the “Company”) is dated as of February 17, 2017 (“Effective Date”) and is made by and among the members set forth on Schedule A attached hereto, and each other person who hereafter is admitted to the Company as a Member (as defined herein) in accordance with the terms hereof. Exhibit A to this Agreement sets forth the definitions of capitalized words and phrases used in this Agreement (unless otherwise expressly provided herein).
