This DEVELOPMENT AGREEMENT (together with the Exhibits attached hereto, the "Agreement") is entered into effective as of the day of _, 2015(the "Effective Date"), by and between the City of Charleston, a political subdivision of the State of South Carolina (the "City"), Ashley River Investors, LLC, a South Carolina limited liability company (“Ashley River”); St. Matthews Lutheran Church (“St. Matthews”); and The Bishop of Charleston (the “Bishop”) (collectively, with the City, the "Property Owner"). The City and Owner are sometimes separately referred to in this Agreement as a "party" or jointly referred to as the "parties."
