This letter agreement (this “Agreement”) confirms the terms under which Suitable Technologies, Inc. (the “Company”) has engaged Stout Risius Ross Advisors, LLC (“Stout”), effective as of the date indicated above (the “Effective Date”), as its exclusive financial advisor to provide financial advisory and investment banking services in connection with a merger and/or acquisition transaction and potentially a valuation and related expert testimony with the Company and with respect to such other financial matters as to which the Company and Stout may agree in writing during the term of this Agreement.
