Nordea Bank AB (publ) ("NBAB") and Nordea Bank Finland Plc ("NBF", together with NBAB, the "Issuers" and each an "Issuer") have established a €10,000,000,000 Structured Note Programme (the "Programme"). Each of the Issuers may from time to time issue notes (the "Notes") under the Programme on an unsubordinated basis, which expression shall include Bearer Notes and Registered Notes (each as defined below), denominated in any currency as may be agreed with the relevant Dealer(s) (as defined below). Notes issued pursuant to the Programme may include Notes issued in bearer form ("Bearer Notes") or registered form ("Registered Notes") and Notes designated by an Issuer as "VP Notes", "VPS Notes", "Finnish Notes", "Swedish Notes" or Swiss Franc Notes in the applicable Final Terms. The maximum amount of all Notes from time to time outstanding will not exceed
