This Amended, Extended and Restated Agreement, including Amendment No. 1 (TRO Amendment) hereto (“Agreement”) shall be deemed effective as of November 5, 2004 (the “Effective Date”), between Massachusetts Local Telephone Company, Inc. (“MLTC”), a corporation organized under the laws of the Commonwealth of Massachusetts, with offices at 1953 Dorchester Avenue, Dorchester, MA 02124 and Verizon Pennsylvania Inc. (“Verizon”), a corporation organized under the laws of the Commonwealth of Pennsylvania with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and MLTC may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
