SUBSCRIPTION TO PURCHASE, units (a “Unit” or the “Units”) consisting of shares of Common Stock, $0.01 par value per share, and warrants (the “Common Stock Warrants”) exercisable for the purchase of shares of Common Stock of the Company, on the terms and conditions set forth on Exhibit A hereto. Each Unit consists of one share of Common Stock and a Common Stock Warrant to purchase one-half share of Common Stock of the Company. The Common Stock and the Common Stock Warrants, and the shares of Common Stock issuable upon the exercise of the Common Stock Warrants, are collectively referred to herein as the “Securities.” The Units will be offered until February 17, 2006, unless such date is otherwise extended by the Company and the Placement Agent (as defined herein) by their mutual agreement for a period not to exceed an additional thirty (30) days (the “Offering Period”).
