For good and valuable consideration, the receipt of which is hereby acknowledged by the parties, this OPERATING AGREEMENT (the “Operating Agreement”) is made and entered into by BCI Citadel Suites LLC (the “Company”), 5113 BCI Management LLC (the “Manager” and Organizer of the Company), and, as applicable, those who have executed subscriptions agreeing to be bound as Members to this Operating Agreement and those parties later bound to this Agreement. To the extent this Agreement is executed before the filing of a Certificate of Organization with the Wyoming Secretary of State, the parties agree that this Agreement shall become the Operating Agreement of BCI Citadel Suites LLC upon formation of the limited liability company.
