This DEVELOPMENT AGREEMENT (this “Agreement”) is made and entered into as of the last date of signature below (the “Effective Date”) by and among the CITY OF SUNBURY, an Ohio municipal corporation duly organized and validly existing under the Constitution and the laws of the State of Ohio (“Sunbury”), DOVE FIELD PARTNERS LLC, an Ohio limited liability company (“DFP”), and 3 B’S & K HOLDINGS LLC, an Ohio limited liability company (“3BKH”). DFP and 3BKH, together with their respective successors and assigns may be referred to hereinafter individually as a “Developer” and together as the “Developers”, and Sunbury, DFP, 3BKH and their respective successors and assigns may be referred to hereinafter individually as a “Party” and collectively as the “Parties”.
