(hereinafter referred to as “M.I.T.”), and SONTRA MEDICAL, INC. a corporation duly organized under the laws of Delaware and having its principal office at 21 Erie Street, Suite 22, Cambridge, MA 02139 (hereinafter referred to as “LICENSEE”).
