The Issuer and the Managers wish to record the arrangements agreed between them in relation to an issue of US$500,000,000 3.000 per cent. Bonds due 2024 (the “Bonds”), which expression shall, where the context so admits, include Bonds evidenced by a global certificate (the “Global Certificate”) representing the Bonds. Definitive Certificates, if required to be issued, will be in registered form in amounts of US$200,000 and integral multiples of US$1,000 in excess thereof.
