This Agreement (“Agreement”) shall be deemed effective as of _Sept_emb_er 12, 2023 (the “Effective Date”), between Earthgrid PBC (“CLEC Party” or "CLECP"), a corporation organized under the laws of the State of Delaware, with offices at 1 West Barrett Avenue, Richmond, CA 94801, and Verizon New York Inc. (“Verizon”), a corporation organized under the laws of the State of New York with offices at 140 West Street, New York, NY 10007, (Verizon and CLEC Party or CLECP may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
