These Terms of Agreement (the “Terms of Agreement”) establish the terms under which Athelas Channel Partners (each a “Partner”), in partnership with Athelas Inc. (“Athelas”) will provide to Customer Services set forth on an RPM Customer Service Agreement between Customer and Partner (the “Service Agreement”). Athelas and Partner may be collectively referred to herein as “Service Providers.” All capitalized terms shall have the meaning set forth in Section 1 of these Terms of Agreement or, if not defined herein, in the Service Agreement. In the event of a conflict between the Service Agreement and these Terms of Agreement, the Service Agreement shall govern.
