The Continuing Disclosure Agreement (the “Disclosure Agreement”) is executed and delivered by the Napa County Flood Protection and Watershed Improvement Authority (the “Issuer”) and U.S. Bank National Association, in its capacity as trustee (the “Trustee”) and as dissemination agent (the “Dissemination Agent”) in connection with the issuance of $_________ Napa County Flood Protection and Watershed Improvement Authority Limited Tax Refunding Bonds, Series 2005 (the “Bonds”). The Bonds are being issued pursuant to an Indenture, dated as of July 1, 1999 (the “Original Indenture”), as supplemented and amended, including as supplemented and amended by the Second Supplemental Indenture, dated as of July 1, 2005 (the Original Indenture, as so supplemented and amended and as it may hereafter be further supplemented and amended, the “Indenture”), between the Issuer and the Trustee. The Issuer, the Dissemination Agent and the Trustee covenant and agree as follows:
