This Memorandum of Understanding dated February , 2012 (this "MOU"), is made by and between the City and County of San Francisco, a municipal corporation (the "City"), acting by and through its Public Utilities Commission (the “SFPUC”) and its Department of Public Works (“SFDPW”), and Sutter West Bay Hospitals, a California nonprofit public benefit corporation, doing business as California Pacific Medical Center ("CPMC”) in connection with CPMC's proposed sewer relocation request described in the Recitals below. The SFPUC and SFDPW are hereinafter collectively referred to as the City Agencies.
