This Power Purchase Agreement (“Agreement”) is made this (the “Effective Date”) by and between the City of Xenia (“OFFTAKER”) and Special Purpose Entity, LLC, an Ohio Limited Liability Company (“Power Purchase Agreement Contractor or PPAC”). PPAC and OFFTAKER are referred to individually as a “Party” or collectively as “Parties”.
