RELIABILITY COORDINATOR AGREEMENT
Reliability Coordinator Agreement • April 10th, 2006

This Reliability Coordinator Agreement (this “Agreement”) is entered into this 6th day of April, 2006 (“Execution Date”), between Louisville Gas and Electric Company and Kentucky Utilities Company, corporations organized pursuant to the laws of the State of Kentucky (collectively, “LG&E/KU”), and the Tennessee Valley Authority, a federal government corporation (“TVA” and, in its capacity as reliability coordinator pursuant to this Agreement, the “Reliability Coordinator”) created by and existing under and by virtue of the Tennessee Valley Authority Act of 1933, as amended, 16 U.S.C. §§ 831 et seq. (the “TVA Act”). LG&E/KU and the Reliability Coordinator may sometimes be referred to herein individually as a “Party” and collectively as the “Parties.”
