THIS AMENDED AND RESTATED INDENTURE AND SERVICING AGREEMENT, dated as of October 1, 2010 (this “Amended and Restated Indenture”) amends in its entirety the Indenture and Servicing Agreement dated as of November 7, 2008 (the “Original Indenture”), as amended by Amendment No. 1 dated as of October 23, 2009 (the “Amendment No. 1”, together with the Original Indenture, the “Amended Indenture”), and is by and among SIERRA TIMESHARE CONDUIT RECEIVABLES FUNDING II, LLC, a limited liability company organized under the laws of the State of Delaware, as issuer, WYNDHAM CONSUMER FINANCE, INC., a Delaware corporation, as servicer, WELLS FARGO BANK, NATIONAL ASSOCIATION, a national banking association, as trustee and U.S. BANK NATIONAL ASSOCIATION, a national banking association, as collateral agent.
