THIS CREDIT AGREEMENT (this “Agreement”) is dated as of December 9, 2005, among CALUMET LUBRICANTS CO., LIMITED PARTNERSHIP, an Indiana limited partnership (the “Company”), CALUMET SHREVEPORT, LLC, an Indiana limited liability company (“Calumet Shreveport”), CALUMET SHREVEPORT LUBRICANTS & WAXES, LLC, an Indiana limited liability company (“CSLW”), CALUMET SHREVEPORT FUELS, LLC, an Indiana limited liability company (“CSF”), and each other Person which may become a Borrower hereunder pursuant to Section 10.1.13 (together with the Company, Calumet Shreveport, CSLW, and CSF, collectively, the “Borrowers” and each individually a “Borrower”), the financial institutions party to this Agreement from time to time as lenders (collectively, “Lenders”), and BANK OF AMERICA, N.A., a national banking association, as agent for the Lenders (“Agent”).
