This Agreement (“Agreement”) shall be deemed effective as of March 1, 2008 (the “Effective Date”), between Bandwidth.com CLEC, LLC (“Bandwidth”), a limited liability company organized under the laws of the State of Delaware, with offices at 4001 Weston Parkway, Suite 100, Cary, NC 27513 and Verizon New England Inc., d/b/a Verizon Massachusetts (“Verizon”), a corporation organized under the laws of the State of New York with offices at 185 Franklin Street, Boston, MA 02110 (Verizon and Bandwidth may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
