THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is entered into as of December 18, 2008, by and among American Tire Distributors, Inc., a Delaware corporation (“Buyer”), Am-Pac Tire Dist. Inc., a California corporation (“Company”), ITOCHU International Inc., a New York corporation (“Itochu Inc.”) and ITOCHU Corporation, a Japanese corporation (“Itochu Corp.” and together with Itochu Inc., “Sellers”).
