This Master Collaboration and License Agreement (this “ Agreement”), dated as of January 12, 2015 (the “E ffective Date”), is made by and between Moderna Therapeutics, Inc., a corporation organized and existing under the laws of Delaware (“Moderna”), and Merck Sharp & Dohme Corp., a corporation organized
