This MEMORANDUM OF UNDERSTANDING is made and entered into as of the day of January, 2015, between the City of Toledo, an Ohio municipal corporation (“City”), and ProMedica Health System, Inc., an Ohio nonprofit corporation (“ProMedica”). As used herein, “Parties” refers to, collectively, City and ProMedica.
