This Amendment No. 1 to Tax Abatement Agreement (this “Amendment No. 1”) is made and entered into by and among Nueces County, Texas (“Nueces County”), M&G Resins USA, LLC, and M&G Waters USA, LLC (each hereinafter sometimes referred to individually as a “Party” and collectively as the “Parties”). Capitalized terms used herein and not otherwise defined herein shall have the respective meanings ascribed to such terms in the Original Agreement (as hereinafter defined), unless otherwise stated.
