THIS SOFTWARE AS A SERVICE SUBSCRIPTION AGREEMENT, dated as of the date of Customer’s purchase of the use of the Licensed Software, between Assembla, Inc., a Delaware corporation (“Assembla”), and the customer set forth on the purchase order pursuant to which the licenses for the Licensed Software were purchased (“Customer”), sets forth the terms and conditions whereby Assembla agrees to provide to Customer for a limited period of time and Customer agrees to acquire from Assembla one or more limited licenses to access and use certain software and documentation and maintenance services related thereto, owned or licensed by Assembla or a subsidiary or an affiliate of Assembla, as set forth on the Purchase Order (as defined below), which shall be delivered by Assembla as a hosted service. To the extent any terms or conditions contained in the Purchase Order conflict with the terms or conditions contained in this Agreement, the terms and conditions of the Purchase Order shall supersede onl
