This Memorandum of Agreement (hereinafter referred to as the "Agreement"), is made and entered intoon (herein after referred to as the “Date of this Agreement”) between the Imperial Irrigation IID, (hereinafter referred to as the “IID”) and the United States Fish and Wildlife Service (hereinafter referred to as the “Service”), pursuant to the Fish and Wildlife Coordination Act, 16 U.S.C. 661 et seq. The IID and the Service are sometimes collectively referred herein as the “Parties” or individually as a “Party”.
