This First Amendment to Program Management Agreement (this “Amendment”), entered into on July , 2018, by and among CWCLA Properties LLC, a California limited liability company (“Owner”), Red Hook Capital Partners III LLC, a Delaware limited liability company (“Original Program Manager”), and Red Hook Capital Partners IV LLC, a Delaware limited liability company (“New Program Manager”), amends that certain Program Management Agreement dated as of July 4, 2018, (the “Agreement”) by and between Owner and Original Program Manager. Capitalized terms used herein and not otherwise defined herein have the meaning ascribed to such terms in the Agreement.
