During the course of providing Services to, or on behalf of, Duke Corporate Education (“Duke CE”) pursuant to a Faculty Work Order between Duke CE and Consultant (the “Agreement”), Consultant may access or otherwise process personal data. The Parties agree that with regard to the processing of personal data pursuant to the Agreement or this DPA, Duke CE is the data processor (and shall hereinafter be referred to as the “Processor”) and Consultant is the data sub‐processor (and shall hereinafter be referred to as the “Sub‐processor”). The Parties have agreed that the Sub‐processor will provide the Services to the Processor pursuant to and in accordance with the terms and conditions of this DPA. In the event of a conflict between the terms of this DPA and the Agreement, the terms of this DPA shall govern.
