This Settlement and Release Agreement (this "Agreement") is made and entered into this 21st day of September, 2007, by and between Wi-Fi TV, Inc, a Nevada corporation (“Wi-Fi”) and Bristol Investment Fund, Ltd., a Cayman Islands company (“Bristol Fund”) and Bristol Capital, LLC (“Bristol Capital”) (Bristol Fund and Bristol Capital are together referred to herein as “Bristol”) and is being executed and delivered by the parties hereto, in full settlement and release of all known and unknown or unanticipated claims, causes of actions, disputes or controversies arising out of the loan of monies by Bristol Fund to Wi-Fi evidenced by Secured Convertible Debentures (collectively the “Debenture”).
