This Purchase and Sale Agreement (this “Agreement”) is made and entered into as of November 4, 2015 by and between Rice Energy Inc., a Delaware corporation (“Rice”), and Rice Midstream Partners LP, a Delaware limited partnership (the “Partnership”).
