This Agreement is made pursuant to that Second Amended and Restated Membership Interest Purchase Agreement dated October 13, 2022 by and among the Holders as Sellers, Sunnyside, LLC., the Company, and George Levy, as Sellers’ Representative (as may be amended from time to time, the “MPA”). Each of the Holders was issued Registrable Securities further to the MPA.
