Invitation Homes Inc., a Maryland corporation (the “Company”), Invitation Homes Operating Partnership LP, a Delaware limited partnership (the “Operating Partnership”), and each of the Selling Stockholders named in Schedule II hereto (collectively, the “Selling Stockholders”) confirm their respective agreements with you and each of the other Underwriters named in Schedule I hereto (collectively the “Underwriters”) for whom you are acting as representatives (the “Representatives”) with respect to the sale by the Selling Stockholders, and the purchase by the Underwriters, acting severally and not jointly, of an aggregate of 43,000,000 shares (the “Shares”) of the Company’s common stock, $0.01 par value (the “Common Stock”). The respective amounts of the Shares to be so purchased by the several Underwriters are set forth opposite their names on Schedule I hereto.
