This Settlement Agreement is made and entered as of December , 2016, subject to approval of the United States District Court for the Southern District of Florida, among and between Plaintiffs Brandon Leidel and Michael Wilson, for themselves and on behalf of the putative Settlement Class as defined below (“Plaintiffs”), James D. Sallah, not individually but solely in his capacity as the Court-appointed Receiver, (the “Receiver”), and Ridgewood Investments, Inc. (“Ridgewood”) and Kaushal (“Ken”) Majmudar (“KM”)(Ridgewood and KM are referred to herein collectively as “Ridgewood” and, unless otherwise stated, all references to Ridgewood mean and include both Ridgewood and KM)(collectively, "Parties").
