STOCK PURCHASE AGREEMENT, dated as of March 14, 2019, by and among Galen Holdco, LLC, a Delaware limited liability company (the “Purchaser”), Healthtrust, Inc. - The Hospital Company, a Delaware corporation (“Healthtrust”) (solely as to Section 9.8(h)), Isleworth Partners, Inc., a Kentucky corporation (the “Company”), the Persons identified as Sellers on Exhibit A attached hereto (each, a “Seller” and collectively, the “Sellers”), and A. Stephen Diamond, Joseph R. Peters and Mark A. Vogt, as representatives of the Sellers (each a “Seller Representative” and collectively, the “Seller Representatives”).
