made and entered into as of this day of , 2017 (the “Effective Date”), by and between WRQ ASSOCIATES, LLC, a Kansas limited liability company, owner of an undivided 70.2265% tenant-in-common (“TIC”) interest (“WRQ”); PERG WATERSIDE, LLC, a Kansas limited liability company, owner of an undivided 25.5275% TIC interest (“PERG”); and PROM WATERSIDE, LLC, a Kansas limited liability company, owner of an undivided 4.2460% TIC interest (“PROM”) (collectively, WRQ, PERG and PROM are referred to herein as the “Company”) and the CITY OF LENEXA, KANSAS, a municipal corporation (“City”).
