THIS PURCHASE AND SALE AGREEMENT (as the same may be amended, restated, supplemented or otherwise modified from time to time in accordance herewith, this “Agreement”) is entered into this 3rd day of March, 2017 (the “Execution Date”), between CP Exploration II, LLC, a Delaware limited liability company (“CPX”), and PetroCap CPX, LLC, a Texas limited liability company (“PetroCap” and together with CPX, collectively, “Seller” and each, individually, a “Seller Party”), and Resolute Natural Resources Southwest, LLC, a Delaware limited liability company (“Buyer”).
