WORTH JV, LLC, a Delaware limited liability company (the “Company”), is entered into as of the 28th day of February, 2006, by DALLAS & FORT WORTH SENIOR HOUSING, LLC, a Delaware limited liability company (“CNL”), and ARC CYPRESS, LLC, a Tennessee limited liability company (“ARC”), as members (CNL and ARC are sometimes referred to herein as the “Members” or individually as a “Member”).
