THIS UCF INCUBATION PROGRAM AGREEMENT (hereinafter referred to as the “Agreement”) dated , 2015 “Effective Date” is made and entered into by the City of Orlando, Florida, a municipal corporation existing under and by virtue of the laws of the State of Florida (hereinafter referred to as the “City”), the principal place of business of which is Orlando City Hall, 400 S. Orange Avenue, Orlando, Florida 32801, and the University of Central Florida Research Foundation, Inc., (hereinafter referred to as “UCFRF”) a Florida 501(c)3 not for profit corporation and direct support organization acting as an instrumentality of the University of Central Florida Board of Trustees, (hereinafter referred to as “UCF”) with an office located at 12201 Research Parkway, Ste. 501, Orlando, FL 32826, and together hereinafter singularly referred to by their respective name or as the “Party”, and collectively as the “Parties”.
