This Agreement shall constitute the sole and entire agreement between the parties with respect to matters set forth herein. All policies, practices, or procedures in conflict with the provisions hereof shall be dis- continued. The provisions of this Agreement shall take precedence over any policies, practices, or proce- dures that are inconsistent with its terms.
