This ENGINEERING & PROCUREMENT AGREEMENT (the “Agreement”), is made and entered into as of August 10th, 2020 (the “Effective Date”), by and between ATLANTIC WIND, LLC, a limited liability company having an office and place of business at 1125 NW Couch St., Suite 700, Portland, Oregon 97209 (“Developer”), and NIAGARA MOHAWK POWER CORPORATION, a corporation organized and existing under the laws of the State of New York, having an office and place of business at 300 Erie Boulevard West, Syracuse, New York 13202 (the “Company”). Developer and Company may be referred to hereunder, individually, as a “Party” or, collectively, as the “Parties”.
